IPWireless Relaunches as a Private Company to Build on its Strong Heritage of Leading 3GPP Innovation

IPWireless, a pioneer in the development of 3GPP mobile broadband and multimedia broadcast technologies, announced that the management team of IPWireless has acquired 75 percent of the company from its former parent, NextWave Wireless. IPWireless also announced that it has simultaneously arranged long term financing with a significant strategic partner. The company believes that these funds will put it on
a secure financial footing to provide continuing support to its existing and new customers in the commercial and government sectors using innovative, standards-based, mobile broadband and broadcast solutions.

"Over the past decade, IPWireless has proven its ability, over and over again, to pioneer innovative 3GPP solutions that dramatically broaden the possibilities of wireless for our customers in both government and commercial markets," said Dr. Bill Jones, co-founder and CEO of IPWireless. "We are excited that not only do we have the right team and financial resources in place to continue to build on this excellent track record but now also the flexibility and strategic focus that are unique to management-controlled ventures."

IPWireless was founded in 1999 to deliver next generation silicon, software and network solutions based on the 3rd Generation Partnership Project (3GPP) standards. The 3GPP was created in 1998 to create the technical specifications for UMTS, the evolution of GSM, the world's dominant standard for mobile communications. The 3GPP has continued to evolve these standards through the recently defined Release 8 which includes specifications for LTE (Long-term Evolution) and iMB (integrated mobile broadcast).

IPWireless was the first vendor to offer commercial UMTS based solutions for a number of global spectrum bands including the unpaired 1900MHz and 2500MHz bands, to offer an all-IP mobile broadband solution based on UMTS, and to offer a UMTS broadcast solution. The company has delivered its innovative 3GPP technology in five generations of 3GPP ASICs that power devices from handsets, to USB modems, to PCI Express Mini cards for embedding in laptops and other form factors. The current generation of ASICs is based on Release 7 and the company is now developing software and chipsets for Release 8.

Since it first launched commercial products in 2002, IPWireless has continually proven its ability to deliver mobile broadband solutions with exceptional real world performance, economics, and deployability based on UMTS standards. In 2007, IPWireless announced that it had provided more than 600 base stations and 2,000 sectors of capacity to power T-Mobile's "Internet 4G" service, which covers more than 60% of the Czech Republic and delivers over 10 terabytes of data each day. The Company's mobile broadband solutions are also used in the government sector, providing the underlying technology for the New York City Wireless Network (NYCWiN), which is being deployed by Northrop Grumman.

IPWireless has also been a pioneer in developing integrated mobile broadcast capabilities for UMTS networks. Based on 3GPP standards, IPWireless' mobile broadcast TDtv solution allows mobile operators to deliver a range of multimedia services, including mobile TV, at a far lower price point using existing, unused 3G spectrum. In 2007, the company announced a successful technical trial of TDtv with Orange, Vodafone, Telefonica, and 3UK. Based on the success of the Bristol technical trial, Orange, and T-Mobile announced in early 2008 the launch of a commercial TDtv pilot in West and Central London. IPWireless will continue to deliver chipsets, software, and network solutions to both mobile network operators and ecosystem partners as integrated 3GPP mobile broadcast capabilities become widely adopted as a way to lower costs and increase return on 3G investments.

The company was acquired in May, 2007 by NextWave Wireless and became part of the NextWave Network Products division. In an announcement on December 26, 2008 NextWave disclosed that it had sold 75 percent of IPWireless to IPW Holdings, an entity formed by the senior IPWireless management team. With the closing of the transaction, IPWireless returns to being a private, independent company that will be led by the entire management team that went to NextWave. NextWave Wireless will retain a minority ownership stake in the company. The company will continue to have its two primary locations in San Bruno, California and Chippenham, UK.
